Terms and Conditions for Metal Signage Services

These terms and conditions (“Terms”) govern the provision of metal signage services (“Services”) by Metal Signage South Africa, operating from Shop L23, Rivonia Central, Oriental City Rivonia, Corner Rivonia Boulevard and 9th Ave, Rivonia, Sandton, 2128 (“Company”). By engaging with or utilizing our Services, you agree to be bound by these Terms. Please read them carefully.

1. Scope of Services:

• The Company specializes in the design, manufacture, installation, repair, and maintenance of metal signage.
• Services may include but are not limited to consultation, design, fabrication, installation, repair, and maintenance of metal signage as agreed upon with the client.

2. Quotations and Pricing:

• Quotations provided by the Company are valid for a specified period, as indicated on the quotation document.
• Prices quoted are exclusive of any applicable taxes unless otherwise stated.
• The quoted price may change without prior notice, especially if repair parts need to be imported from Europe, leading to potential delays and increased costs.

3. Payment Terms:

• Payment terms will be as specified in the quotation or as agreed upon between the Company and the client.
• Payment for Services rendered is due upon completion, unless otherwise agreed upon in writing.
• No refunds will be issued once payment has been made.

4. Lead Time and Forfeiture:

• The client acknowledges that the lead time for repairs may be up to 12 months if parts need to be imported from Europe.
• In the event of cancellation by the client for any reason other than breach of contract by the Company, 20% of the total project cost is forfeited as liquidated damages to cover administration and production costs.

5. Intellectual Property:

• Any designs, drawings, or other intellectual property developed by the Company during the provision of Services shall remain the property of the Company, unless otherwise agreed upon in writing.
• The client may not reproduce, distribute, or use any such intellectual property without the prior written consent of the Company.

6. Warranty and Liability:

• The Company warrants that all metal signage supplied or installed by us will be free from defects in materials and workmanship for a period of [insert warranty period] from the date of installation.
• The Company’s liability under this warranty is limited to repair or replacement of the defective signage, at our discretion.

7. Client Responsibilities:

• The client is responsible for providing accurate information regarding their signage requirements.
• The client must ensure that the installation site is accessible and ready for installation as agreed upon.
• Any delays or additional costs incurred due to the client’s failure to meet their responsibilities shall be borne by the client.

8. Termination:

• Either party may terminate the agreement for Services upon written notice if the other party breaches any material term of these Terms and fails to remedy such breach within a reasonable period.
• Upon termination, the client shall pay for all Services provided up to the date of termination, as well as any costs incurred by the Company as a result of the termination.

9. Governing Law and Dispute Resolution:

• These Terms shall be governed by and construed in accordance with the laws of South Africa.
• Any dispute arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved amicably, it shall be referred to arbitration in accordance with the laws of South Africa.

10. Amendments:

• The Company reserves the right to amend these Terms at any time. Any amendments will be effective upon posting on our website or other forms of notification to the client.

11. Precedence of Terms:

• These Terms and Conditions take precedence over any other verbal or written communication by our staff, unless otherwise agreed upon in writing.
